Most founders ask which structure is best. A more useful question is what you need protection from in the next twelve months: personal liability, unclear ownership, or the cost of paperwork you will not maintain.

Write down your answer before comparing entity types. It turns an abstract legal question into a short checklist you can actually evaluate.

Compare on four practical axes

Liability separation, tax treatment, administrative load and how easily you can add owners later. Almost every structure trade-off lands on one of these four.

A single-member LLC is often the pragmatic middle ground: meaningful separation between you and the business, without the meeting minutes and formalities a corporation expects.

Plan for maintenance, not just formation

Formation takes an afternoon. Staying compliant takes a calendar. Before you file, note the annual report deadline, the registered agent requirement and where official mail will arrive.

A simple decision path

If you are testing an idea with no customers yet, keep it simple. If money is moving, contracts are being signed, or partners are involved, formalise it. If you plan to raise outside investment, talk to a professional about a corporation before you file anything.
